Terms of Service for App (English Version)

OVERVIEW

These Terms of Service ("Terms") govern your access to and use of the WETOX application (the "App") and related services (collectively, the "Services") provided by WETOX ("we," "us," or "our"). The Services primarily include functionalities for connecting to devices via Bluetooth, monitoring device information, and delivering Over-the-Air ("OTA") software updates.

By creating an account or using our Services, you agree to be bound by these Terms. If you do not agree to all provisions within these Terms, you may not access or use the App or the Services. These Terms constitute a legally binding agreement between you and WETOX.

SECTION 1 - APP FUNCTIONALITY AND USER RESPONSIBILITIES

1.1 Core Services

The App enables you to pair, connect, and interact with compatible Bluetooth Low Energy (BLE) devices. This includes, but is not limited to, reading device data, receiving notifications, and managing device settings. Additionally, the App may facilitate the delivery of OTA updates to your connected devices to enhance functionality or address software issues.

1.2 User Account

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information during registration and to update such information to ensure its accuracy.

1.3 Permissions and Requirements

Use of the Services requires a compatible mobile device with Bluetooth and internet connectivity. You agree to grant the App necessary permissions, including access to Bluetooth and location services (which may be used for device discovery), as prompted on your device. Prolonged use of Bluetooth may significantly decrease your device's battery life.

SECTION 2 - BLUETOOTH AND OTA SPECIFIC TERMS

2.1 Service Availability and Limitations

You acknowledge that the performance of Bluetooth connections and device detection can be affected by environmental factors, distance, interference, and device-specific hardware or software limitations. We do not guarantee uninterrupted, timely, or error-free service.

2.2 OTA Updates

OTA updates are provided to enhance the user experience and device security. You acknowledge that:

User Consent: We will seek your explicit consent before initiating an OTA update that materially alters the functionality of your device.
Update Risks: While we strive to test updates thoroughly, you understand that there are inherent risks in any software update, including the potential for unexpected errors or data loss. It is your responsibility to ensure a stable connection and adequate power during the update process.
Prohibited Use: You agree not to use the OTA update mechanism to install unauthorized or modified software on your devices, which may void your device warranty and violate these Terms.

SECTION 3 - INTELLECTUAL PROPERTY

The App, including its design, text, graphics, logos, and software, is the property of WETOX or its licensors and is protected by copyright and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes in accordance with these Terms.

SECTION 4 - PRIVACY AND DATA

Your privacy is important to us. Our collection and use of personal information, including device data and location information, are governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you consent to such processing and you warrant that all data provided by you is accurate .

SECTION 5 - DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

5.1 Disclaimer

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

5.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WETOX, ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THEIR POSSIBILITY.

SECTION 6 - INDEMNIFICATION

You agree to indemnify, defend, and hold harmless WETOX and its affiliates from any claim, liability, expense, or demand (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

SECTION 7 - TERMINATION

We reserve the right to suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will cease immediately.

SECTION 8 - GOVERNING LAW

This Agreement and any disputes arising out of or in connection with it shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China (“Hong Kong law”), without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. Any dispute, controversy, difference or claim arising out of or relating to this Agreement shall be finally settled by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of the arbitration shall be Hong Kong. The arbitration proceedings shall be conducted in English. This clause shall not preclude either party from seeking interim or conservatory measures from any court of competent jurisdiction.

SECTION 9 - CHANGES TO TERMS

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes by posting the updated Terms within the App or on our website. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
